Asana Community Terms of Use

Effective as of February 7, 2018.

These Asana Community Terms of Use (these “Terms of Use”) provide important information related to your use of the Asana Community website located at https://forum.asana.com (the “Asana Community”). In addition to these Terms of Use, you also agree to adhere to these Community Guidelines in connection with your utilization of the Asana Community.

The Asana Community is designed to enhance your use of the Asana Service located at www.asana.com (the “Service”). Your use of the Service shall remain subject to the Terms and Conditions associated with your Service account. If you are a free subscriber, your use is subject to our standard Terms of Service. If you or your company is a premium subscriber, then your use of the Service is subject to our Premium Subscriber Agreement, including any modifications thereof that may have been agreed to in writing by and between Asana and your company.

IMPORTANT: IF YOU CHOOSE TO ACCEPT THESE TERMS OF USE, YOU MUST ACCEPT THEM AS PRESENTED HERE. ASANA WILL NOT ACCEPT ANY MODIFICATIONS TO THESE TERMS OF USE. Asana may amend these Terms of Use by updating this document at any time. Any such update will be published here. We may also change, add or remove any part of the Asana Community (and the features provided there) at any time. IF ANY SUCH CHANGE IS UNACCEPTABLE TO YOU, YOU SHOULD DISCONTINUE YOUR USE OF AND PARTICIPATION IN THE ASANA COMMUNITY. YOUR CONTINUED PARTICIPATION IN THE ASANA COMMUNITY WILL INDICATE YOUR ACCEPTANCE OF THESE TERMS OF USE AND ANY CHANGES THERETO.

  1. General. You must be at least 18 years of age, or the age of majority in your jurisdiction, to participate in the Asana Community. If you wish to contribute to the Asana Community, you must register for an account and provide current, accurate and complete information about yourself during the registration process. Information you provide to us when you register and information we collect in connection with your use of the Asana Community shall be subject to the terms of our Privacy Policy. You are responsible for maintaining the confidentiality of your Asana Community password and for keeping your registration information up to date.

  2. Content You Post; License. You are responsible for all content you post to the Asana Community (each such posting a “Submission”). By posting a Submission to the Asana Community you hereby grant to Asana a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute such Submission and derivative works thereof. Any ideas, suggestions or recommendations (the “Feedback”) you may post within the Asana Community may be incorporated into Asana’s products, services and technologies or otherwise utilized by Asana without paying royalties and without any other obligations or restrictions. By posting a Submission you represent and warrant that you either own or have all the necessary intellectual property rights necessary to upload or share all content contained within such Submission and that your contributions to the Asana Community do not infringe on the patent, copyright or other intellectual property rights of others. By uploading a Submission to the Asana Community, you represent and warrant that you are not uploading any virus, worm, Trojan horse or other malicious, illegal or unlawful code which is designed to interrupt, destroy, or limit the functionality of any software or hardware.

  3. Additional Restrictions. Your Submissions and activities within the Asana Community may not:
    a. constitute, encourage or facilitate illegal activity, piracy or work-around designed to circumvent or disable any point or badging system Asana may incorporate into the Asana Community or any security or other controls designed into the Service, including but not limited to limitations which may exist within the free version of Asana;
    b. contain any advertising or include a link to any commercial item that is not directly related to the question you are asking in your Submission or relevant to a question you are answering for another community member;
    c. reveal any sensitive or personal information about any other person without their express permission; or
    d. contain any content that is defamatory, libelous or threatening or that constitutes hate speech.

  4. Moderation; Content Posted by Asana. The Asana Community is intended to be a place where users support each other by sharing information, tips and ideas about utilizing Asana. Asana does not prescreen Submissions to the Asana Community. Asana retains the right, but not the responsibility, to edit or remove any Submission to the Asana Community, including any Submission that may violate these Terms of Use or the Community Guidelines, but Asana does not prescreen Submissions. Asana will make a good faith effort to investigate any Submission that has been reported as a violation of these Terms of Use or the Community Guidelines, but (i) makes no representation or warranty that it will edit or remove any such Submission; and (ii) will have no liability whatsoever if it does elect to remove, edit or continue to display such Submission. Asana reserves the right to appoint moderators or to designate certain participants as experts based on criteria to be determined by Asana; but such persons are not the employees or representatives of Asana. The views expressed by any moderator or designated expert are not necessarily the views and opinions of Asana and are not endorsed by Asana. Representatives of Asana may participate in the Asana Community, including by posting Submissions or by responding to Submissions posted by others. Any such activity by Asana or any Asana employee is offered on an “AS IS” basis without warranties of any kind. Official Asana product support can be found at Asana Support - Help Center • Asana.

  5. Copyright Complaints. Asana respects the intellectual property rights of others. If you believe that your copyrighted work has been copied or made accessible on our Asana Community without your consent please see our DMCA Policy for information on how you can file a complaint with Asana pursuant to the Digital Millennium Copyright Act.

  6. Term; Termination. These Terms of Use become binding and effective in relation to you when you register for the Asana Community and accept these Terms of Use and will remain in full force and effect until you terminate your Asana Community account or until earlier termination by Asana as provided for herein. You may terminate your Asana Community account at any time by sending a request to community@asana.com. Without limiting any other rights it may have, Asana reserves the right to terminate your Asana Community account at any time upon notice to you if (a) Asana ceases to provide the Asana Community or (b) in Asana’s sole and reasonable discretion, you are acting in a manner that is contrary to these Terms of Use, or any other Asana terms or policy referenced herein. Any submissions that you have made up to the point of termination may remain on the Asana Community in an anonymized form.

  7. No Warranty; Limitation of Liability. THE ASANA COMMUNITY IS OFFERED ON AN AS-IS BASIS AND ASANA MAKES NO WARRANTY, EITHER EXPRESS OR IMPLIED, AS TO THE CORRECTNESS OR COMPLETENESS OF THE ASANA COMMUNITY OR THE CONTENT INCLUDED THEREIN OR THEIR FITNESS FOR ANY PARTICULAR PURPOSE. ASANA MAKES NO WARRANTY THAT THE ASANA COMMUNITY WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER CODES THAT INCLUDE OR MANIFEST CONTAMINATING OR DESTRUCTIVE CHARACTERISTICS. ASANA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR FREE.
    NEITHER ASANA, NOR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS OR ASSIGNS SHALL BE LIABLE TO YOU OR ANY 3RD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FORM OR RELATING TO YOUR PARTICIPATION IN THE ASANA COMMUNITY, INCLUDING, WITHOUT LIMITATION, LOST REVENUE, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ASANA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITATION, ASANA WILL NOT BE LIABLE TO YOU IN CONNECTION WITH (I) YOUR USE OR INABILITY TO USE THE ASANA COMMUNITY; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR SUBMISSIONS; OR (III) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE ASANA COMMUNITY OR THROUGH THE SERVICE. IN NO EVENT SHALL ASANA’S CUMULATIVE AGGREGATE LIABILITY TO YOU ARISING FROM OR RELATED TO THE ASANA COMMUNITY EXCEED FIFTY U.S. DOLLARS ($50.00).
    SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE DISCLAIMER, EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES. TO THE EXTENT THAT THEY ARE HELD TO BE LEGALLY INVALID, DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SET FORTH IN THESE TERMS OF USE DO NOT APPLY.

  8. Indemnification. You agree to indemnify and hold Asana and its officers, directors, employees and licensors harmless from and against any claim or demand (including but not limited to reasonable legal fees) made by a third party due to or arising out of or related to your violation of these Terms of Use, the Community Guidelines, or your violation of any laws, regulations or third party rights.

  9. Assignment by Asana. Asana may assign it rights and obligations under these Terms of Use without restriction to an affiliate or in connection with a merger or acquisition or the sale of all or substantially all of Asana’s business. You may not assign your rights or obligations in connection with these Terms of Use, or any part thereof, to any third party.

  10. Severability. Should any part of these Terms of Use be deemed to be invalid or unenforceable, such invalidity or unenforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of these Terms of Use and the application of the provision deemed to be invalid or unenforceable shall be enforced to the extent permitted by law.

  11. Governing Law; Disputes. These Terms of Use shall be governed by the laws of the State of California without giving effect to any conflict of law principles that may require the application of the law of another jurisdiction. In connection with any claims, disputes, controversies, or proceedings arising from or relating to the Asana Community or these Terms of Use, you agree to submit to the personal and exclusive jurisdiction of the state or federal courts located within the Northern District of California.
